2. Service Description

Printify POD Batch Creator is a web-based platform that provides:

• AI-Powered Image Generation: Create images using Google Gemini AI technology
• Image Processing: Upscale images and remove backgrounds
• Batch Processing: Process multiple images simultaneously
• Printify Integration: Upload processed images directly to your Printify account
• Template Management: Save and reuse generation templates
• Studio Features: Advanced image editing and styling tools (Pro and Enterprise plans)

Service availability and features may vary based on your subscription plan.

3. Account Registration

Eligibility

You must be at least 18 years old to use this Service. By creating an account, you represent and warrant that you meet this age requirement.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

4. Subscription Plans

We offer several subscription plans:

Trial Plan

• 14-day free trial with limited features
• No credit card required
• Automatically expires after 14 days unless upgraded

Starter Plans (BYOK and Managed)

• Monthly or annual billing
• Limited usage quotas
• BYOK plans require your own Google Gemini API key
• Managed plans include AI generation credits

Pro Plans (BYOK and Managed)

• Monthly or annual billing
• Higher usage quotas
• Access to Studio features
• Advanced processing capabilities

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You will be charged the then-current rate for your plan.

5. Payment Terms

Billing

By subscribing to a paid plan, you authorize us to charge your payment method:

• The subscription fee at the start of each billing period
• Any applicable taxes
• Additional charges for overage usage (if applicable)

Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information on our servers.

Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice for existing subscribers before any price increase takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Failed Payments

If a payment fails, we may:

• Retry the payment multiple times
• Suspend or downgrade your account
• Terminate your subscription

6. NO REFUND POLICY

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS FOR ANY SUBSCRIPTION PURCHASES.

Please note the following:

• No Refunds: Once you purchase a subscription, you will not receive a refund under any circumstances
• No Partial Refunds: If you cancel mid-billing period, you will not receive a prorated refund
• No Exceptions: This policy applies regardless of usage, satisfaction, or any other reason
• Trial Period: We offer a 14-day free trial specifically to allow you to test the service before making a purchase commitment

Important: By subscribing to a paid plan, you acknowledge and agree to this no-refund policy. We strongly encourage you to:

• Use the free trial to evaluate the service
• Start with a monthly plan before committing to annual billing
• Review plan features and limitations carefully before subscribing

If you cancel your subscription, you will retain access to your plan until the end of your current billing period, but no refund will be issued for the remaining time.

7. Usage Limits and Fair Use

Monthly Quotas

Each subscription plan has specific monthly limits for:

• AI image generations
• Image upscaling operations
• Background removal operations
• Printify uploads
• Saved templates

Fair Use Policy

You agree to use the Service in a reasonable manner. Excessive or abusive use, including but not limited to automated scraping, may result in account suspension or termination.

BYOK Plans

For BYOK (Bring Your Own Key) plans:

• You are responsible for your own Google Gemini API costs
• You must comply with Google's terms of service
• We are not responsible for issues related to your API key

8. Prohibited Activities

You agree NOT to:

• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction (including copyright and trademark laws)
• Generate or process content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload malware, viruses, or any malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools (bots, scrapers) to access the Service
• Resell or redistribute the Service without authorization
• Abuse or overload our servers or infrastructure
• Remove or modify any proprietary notices or labels

Violation of these prohibitions may result in immediate account termination without refund.

9. Intellectual Property

Your Content

You retain all rights to images and content you create using the Service. We do not claim ownership of your generated images.

Our Platform

The Service itself, including all software, algorithms, code, design, and documentation, is owned by Printify POD Batch Creator and is protected by copyright, trademark, and other intellectual property laws.

AI-Generated Content

Images generated using AI technology may be subject to specific terms of the underlying AI provider (Google Gemini). You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party terms.

License to Use Service

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or commercial use in accordance with these Terms.

10. Service Availability

"AS IS" Basis

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied.

No Uptime Guarantee

We do not guarantee that the Service will be:

• Available at all times without interruption
• Error-free or bug-free
• Secure from unauthorized access
• Compatible with all devices and browsers

Maintenance and Updates

We reserve the right to:

• Perform maintenance that may temporarily interrupt service
• Update or modify features at any time
• Discontinue features or the entire Service with notice

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Liability for Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue

• Business interruption
• Loss of goodwill

Maximum Liability

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Third-Party Services

We are not responsible for:

• Issues with Google Gemini AI service
• Stripe payment processing problems
• Printify API or service issues
• Your API keys or third-party credentials

12. Indemnification

You agree to indemnify, defend, and hold harmless Printify POD Batch Creator, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you generate or upload

13. Account Termination

Your Right to Cancel

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. Remember: no refunds will be issued.

Our Right to Terminate

We reserve the right to suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• Your payment fails
• We detect fraudulent or abusive activity
• Required by law
• We decide to discontinue the Service

Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• Your data may be deleted (we may retain some data as required by law)
• No refunds will be issued for any remaining subscription period

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Good faith negotiation first

Jurisdiction

You agree to submit to the personal jurisdiction of the courts located within the United States for the purpose of litigating any disputes not subject to arbitration.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Printify POD Batch Creator regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.
